The Department:

Corporate Development is a small, high profile team reporting to the CFO based across Pearson’s Central London and Hoboken, NJ offices. We are responsible for providing investment appraisal, strategic analysis and business reviews to the Executive team and the Pearson Board, as well as managing all acquisitions and disposals (end to end) and coordinating strategic initiatives across the Pearson group. We have a significant amount of exposure to the Pearson CEO, CFO and other Board directors, and we work very closely with the Pearson Executive team and senior management in our business units.

Main objectives of role:

The Analyst will be supporting on execution of acquisitions and disposals from strategic target appraisal to diligence and valuation through to contract negotiations and closing.

In addition to transactions, the Analyst will support the Corporate Development team’s other activities across Pearson as required by senior management and the Board, including strategy or business planning work and corporate finance, treasury and balance sheet related work for the CFO.

Main activities / responsibilities:

Working with the business units in evaluating potential acquisitions, disposals, joint ventures, minority investments and business development opportunities – this includes reviewing the business case against Pearson’s strategy, building and reviewing valuation models and preparing the documentation to take the business case for approval at CFO/CEO level and eventually Board level;

Supporting on all elements of transaction execution, which include:

Leading on valuation and financial modelling;

Helping to manage the internal Pearson team and our advisors during a transaction process;

Drafting update papers for the Pearson Board and senior management;

Overseeing the due diligence process;

Interacting with a Seller and its advisors or with potential bidders and their advisors;

Providing support on negotiating contracts and legal agreements; and

Representing Pearson in meetings with counterparties.

Provide support on specific strategic analysis for the Board, CEO and CFO, for example bid defence & activism planning, balance sheet strategy, including capital returns and share buy-backs, and portfolio analysis;

Ensuring that Pearson’s policies and procedures are applied consistently on investment opportunities and other transactions (to include post-deal integration planning).

Candidates will have previous relevant experience gained working in an investment bank or M&A advisory firm, the corporate finance or strategy division of a large accounting or consulting firm, or within the M&A / strategy function of a multi national corporate organisation.

Specific qualifications and experience required for the role include:

Undergraduate degree, ideally in business, finance, or accounting; finance qualification such as an ACA or CFA would be a plus;

Financial modelling and valuation experience and skills essential;

Deal experience essential;

Proven analytical and business problem solving skills, with the ability to apply financial analysis to commercial issues;

Ability and confidence to establish credibility and work with senior management;

Highly numerate, with the ability to understand and interpret statutory and management accounts;

Confident working under own initiative as well as being a strong team player;

Strong interpersonal and communication skills including written, together with excellent attention to detail;

Self-starter with a strong results-driven work ethic; and

Proficient in Microsoft Word, Excel and PowerPoint.
