The matters we work on are generally challenging and sophisticated. We do, however, aim to give associates as much responsibility and client contact as they are ready for. At your level we would expect you to be the day to day contact with a client, with guidance and supervision from a partner.
Structure of our Pensions and Employment practice
The incentives practice at Slaughter and May is part of the Pensions and Employment group. This is an integrated department of 6 partners, 4 senior counsel, around 20-25 associates, 4 Professional Support Lawyers, 7 trainees and 4 paralegals advising on employment, incentives and pensions. Many of our lawyers advise in two or more of these areas. This is in contrast to the common approach of having separate departments for each of these areas.
The department’s work in relation to incentives includes some of the largest corporate transactions, for example in 2018 advising Shire on its acquisition by Takeda and in 2017 advising Standard Life on its merger with Aberdeen Asset Management, as well as advising a large number of companies on the implementation of new share plans and the operation of existing plans.
Our incentives work also involves advising private companies on incentivisation and remuneration arrangements for their executives, including the implementation and design of growth share scheme and other cash and equity based incentive arrangements. We advise on the management incentivisation aspects of private equity transactions on UK corporate governance requirements relating to executive remuneration.
Role and responsibilities
• Acting as the day-to-day contact for advising clients on a wide range of share plan and incentives issues, including remuneration and corporate governance
• Drafting, reviewing and amending the legal and commercial aspects of incentives documentation
• Taking responsibility for the share plan and incentives aspects of corporate transactions of all kinds, including public and private transactions
• Taking responsibility for working with other parts of the firm in advising on all of these areas
• Developing the practice by promoting the Firm and its work both to existing and potential clients and by contributing to the creation of know-how, including client bulletins and other client and firm-facing training events
Key experience skills and attributes
• Works in a recognised incentives or employment practice with experience of work for public company clients
• Has between 0-3 years’ post qualification experience in either incentives or employment and is capable of substantial work with limited supervision
• Experience post-qualification could be 100% in the field of incentives but experience of incentives plus employment or personal tax or corporate work would also be beneficial
• Has a strong academic background and a demonstrable, high level of intellectual rigour and outstanding analytical abilities
• Has the flexibility and willingness to support on straightforward employment or other matters, as required
• Ability to draft, advise and negotiate in relation to complex transactions and cases, identifying and explaining key technical issues commercially and succinctly
• First rate legal/commercial knowledge and technical skills
• Excellent client relationship skills
• Excellent efficiency and transaction management skills
• Ability to develop and work in a fast paced, intellectually challenging environment
• Resilient under pressure with the ability to manage and meet multiple deadlines
• High level of professionalism and integrity
