Size of Wales is seeking three or four new Trustees to join a Board of eight to help steer and guide our charity at a time when climate change is the most critical issue facing our planet.

Job Description

Summary

Position:  Size of Wales Trustee

Remuneration:  Voluntary with reasonable expenses covered within UK (One trip covered for overseas candidates if the budget allows).

Time commitment:  One day a month (on average).  2 in-person meetings a year (for UK-based trustees and 1 in-person for overseas trustees)

Standard term of office:  Three years, renewable for a further term

Closing date:  26th June 12 noon.

Trustees for Size of Wales ( 3 or 4)

You will be joining our Board at a vital time for the future of the world's tropical forests. World Governments committed to achieving zero deforestation by 2030 at the Climate COP 26 in 2021 in Glasgow - an initiative which was led by the UK Government who hosted this COP. Yet we are far from achieving this target and Wales, along with the rest of the UK, continues to import products such as soy, beef, palm oil, cacao and coffee which have been produced by destroying tropical forests such as the Amazon.

We are also entering a challenging time politically with significant political change coming in Wales. The voices opposing action on the climate and biodiversity crisis are getting louder. We will need to ensure our voices are heard loud and clear on the need to address these twin crises if the world's tropical forests and the forest peoples who depend on them are to have a future.

This is an exciting leadership and change-making opportunity for people from all walks of life and backgrounds who want to do something significant about the climate crisis. You will become a member of the Board of Trustees and work together, collectively, bringing your lived experience, thoughts and wisdom to the role.  The Board is a welcoming collective of people, ready and willing to support one another and the team.

The Role

The Board of Trustees is the ultimate decision-making body for the charity and all trustees become company non-executive Directors.  It is responsible for setting overall strategy and ensuring it is delivered by the Size of Wales Director, Deputy Director and the wider team of sixteen. The Board comprises people bringing the range of professional skills and personal and employment experience needed to ensure that the charity is well governed.

?     The standard term of office for a Trustee is three years and can be extended.

?     The minimum commitment is to attend 4 Board meetings a year, of which at least 2 should be in person if living in the UK, normally but not exclusively in Cardiff.  If you live overseas, you would be expected to join at least one meeting in person.   You are permitted to join some meetings remotely if necessary, plus the annual AGM (normally online). 

?     It is also encouraged for Trustees to join one sub-committee, such as the Risk Sub-Committee, Finance Sub-Committee, Staff and Wellbeing Sub-Committee or Ethics Committee.

?     Ad hoc communication between Trustees and the Size of Wales Director and Deputy Director may also occur via email, WhatsApp, phone and video conference.

?     The positions are voluntary and reasonable travel expenses will be reimbursed.

?     The time needed to carry out this role is approximately one day a month, though there are times when this is higher.  Commitment outside of meetings can be at times that are suitable to yourself.

?     Training and mentoring will be provided if necessary, and opportunities to further your career and trusteeship are encouraged, such as representing Size of Wales at events/conferences or becoming a lead for a project region, sub-committee or programme area.

Trustee Responsibilities

?     Ensure that the organisation complies with its governing document, charity law, company law and any other relevant legislation or regulations

?     Ensuring that Size of Wales follows their clear mission and strategic direction as outlined in their governing documents and is focused on achieving these

?     Responsibility for Size of Wales’ performance and “corporate” behaviour

?     Acting as guardians of Size of Wales’s assets, both tangible and intangible, taking all due care over their security, deployment and proper application.  NB. Liability of Trustees is limited to £1

?     Ensuring the financial stability of the organisation.

?     Support networking and raising awareness about Size of Wales

?     Ensuring critical policies are adhered to, including Safeguarding, GDPR, Health and Safety, Equity, Diversity and Inclusion etc.

?     Ensuring Size of Wales complies with legal and regulatory requirements

?     Ensuring that Size of Wales’s governance including how trustees make decisions and truly understanding what is going on, is of the highest possible standard

?     Safeguarding the good name and values of the organisation.

?     Managing risk for Size of Wales by scrutinising the Risk and Risk Event Register overseen by the Risk Sub Committee

?     Line manage the Director and monitor their performance.

The Successful Candidates

We are looking for individuals who demonstrate:

?     A commitment to the mission of Size of Wales and its guiding principles

?     An interest in at least one of our three goals

?     Ability to work as a team

?     Able to think creatively and strategically

?     Able to express your viewpoints to other colleagues

?     Willing to take part in training

?     Some understanding of EDI and/or safeguarding

?     Knowledge or lived experience in fields relevant to the charity sector, such as finance, legal, corporate and other fundraising, EDI, overseas work, data protection/GDPR and communications, including social media and

?     Able to attend 2 out of 4 Board meetings in person (in Wales) and 1 out of 4 (if overseas)

Eligibility

Trustees of Size of Wales must be at least 18 years old or older. Some people are disqualified by law from acting as charity Trustees. Subject to waiver provisions (see below) this includes anyone who:

?     has an unspent conviction for an offence involving dishonesty or deception

?     is currently declared bankrupt (or is subject to bankruptcy restrictions or an interim order)or has an individual voluntary arrangement (IVA) with creditors

?     is disqualified from being a company director

?     has previously been removed as a Trustee by either the Charity Commission or the High Court due to misconduct or mismanagement.

?     The closing date for applications is 12 noon on 26th June.  Shortlisted candidates will be invited to an evening event on 9th July to get to know Size of Wales better.   Interviews will take place later in August/September at a suitable time and date.  The interview is preferred to be in person (as we will get to know each other better that way)  however we will consider online if necessary. 

Selection

All applications will be shortlisted against the criteria laid out in the section “The Successful Candidate”. Those selected for an interview will be emailed by 5th July.  Those unsuccessful will be informed by email.  You can request a different form of communication by informing the role administrator (Recruitment@sizeofwales.org.uk). 

Some interview questions will be provided before the interview to allow time to consider your answers. During the interview, interviewees will be scored out of 5 or 10 for each question. It will be important to demonstrate the breadth and depth of your knowledge by giving examples of your work or field of knowledge.  The interviewers will not discuss/influence others’ scores.

The successful candidate will be offered the position once all interviews have been concluded, no later than five days after the last interview.  All those unsuccessful will also be notified. Size of Wales will provide feedback if requested.
